("IELT") maintains this website located at www.iconenglish.com and its associated websites, web pages, content and other materials (collectively the "Site") to provide to you information about Icon English Language Training Corp., its experience, capabilities, products and services. Your access to and use of the Site is subject to these Terms of Use and all applicable laws. By accessing the Site, you accept, without limitation or qualification, these Terms of Use. You should review the most current version of the Terms of Use often as they may be modified from time to time and the terms as modified will govern your use of the Site. Any new features that augment or enhance the Site will be subject to these Terms of Use.

1. Generally

You are free to browse the Site. All material available on the Site is referred to as "Licensed Content." You may view and print portions of the Licensed Content for your own internal use but not for resale or other commercial use and not for use other than as provided in these Terms of Use. Licensed Content may change periodically and at any time. With some exceptions, IELT's website(s) do not target and are not intended for use by children under age 13. Except as may be permitted by local law, IELT will not knowingly contact children under age 13 about promotions or for marketing purposes without a parent's permission nor will it ask for more personal information than is reasonably necessary to participate in a given activity. Because many factors go into the decision-making process of acquiring products and services of this nature and everyone's particular circumstances and needs may differ, the Licensed Content is provided for informational purposes only.

2. Privacy

IELT values its relationship with visitors and customers and makes every effort to safeguard any Personal Information collected, while also making information available. Personal Information is defined as your name in combination with a credit card number, social security number or bank account number. Personal Information is not information that is publicly available such as your name, address, e-mail address, telephone number, country of residence etc. or information you provide in connection with your submission of your resume or curriculum vitae. IELT collects information about you in several ways from different parts of the Site. For example, information you provide is collected and stored to permit you to receive IELT's communications which may include e-newsletters, case studies, and online support to existing customers. Information may also be collected when you communicate with IELT through the "Contact Us," "Customer Support," "Teacher Recruitment," or "Employment Opportunities" links on the Site, via e-mail, to request support, ask a question, apply for employment, report a problem or participate in promotions, sweepstakes or contests. If you contact IELT, it will keep a record of that session. It will also maintain a copy of your request or correspondence for a period of time after it forwards it to the appropriate IELT affiliate. For example, if you request information about products or services and you indicate that you live in one country, IELT will forward your request, including all information you provided, to its affiliate in such country which will then contact you. Once forwarded to the applicable affiliate, all information, including Personal Information, will be maintained pursuant to the website term of use established by and the laws governing the applicable affiliate. IELT automatically receives and records information on its server logs from your browser, including your IP address, IELT cookie information and your page requests. IELT may also occasionally ask users to complete surveys for research purposes, provide testimonials or submit ideas for improving our products and services.

IELT may use any information gained through the Site for any legal purpose. Generally, IELT uses information to provide maintenance and support to existing customers, customize Licensed Content, fulfill your information requests, improve services, contact you, conduct research and provide anonymous reporting for internal use and to third parties. IELT may set and access cookies on your computer for various purposes, including to secure transaction activities, if any, and enhance the performance of the Site. Generally, IELT may use cookies to remind it of who you are and to access your account information (if stored on its computers), to confirm your identity as an authorized IELT customer user, and/or to deliver to you more personalized service. IELT also collects IP addresses for system administration to include them in outgoing mail message headers.

If IELT were to merge with or be acquired by another company or if it were to cease operations, your information may be transferred to the surviving company and will be subject to that entity's privacy policy. 3. User Conduct

All information, data, messages or other materials transmitted are the expressions, opinions and sole responsibility of the person from whom such material originated. This means that you and not IELT are entirely responsible for all downloads, uploads and/or emails transmitted via the Site. You should verify all statements and do your own testing and due diligence before following any recommended advice. Under no circumstances is or will IELT be liable in any way for any Communications, and links you may access located on the Site, your or another user's use of the Site or any Licensed Content, including but not limited to any errors or omissions in any Licensed Content or for any loss or damage of any kind incurred as a result of the use of any Licensed Content via the Site.

You agree not to use the Site to:

(a) email, or otherwise transmit anything that is unlawful, harmful, threatening, abusive, harassing, tortious, defamatory, vulgar, obscene, libelous, invasive of another's privacy, hateful or racially, ethnically or otherwise objectionable;

(b) impersonate any person or entity, falsely state or otherwise misrepresent your affiliation with IELT or any other person or entity;

(d) email or otherwise transmit anything that you do not have a right to transmit under any law or under contractual or fiduciary relationships (such as insider information, proprietary and confidential information learned or disclosed as part of employment relationships or under nondisclosure agreements);

(f) email or otherwise transmit any unsolicited or unauthorized advertising or promotional materials, chain letters or other solicitation;

(g) email or otherwise transmit any material containing software viruses or any other malicious, computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software, hardware, telecommunications equipment or database;

(h) interfere with or disrupt the Site or servers or networks connected to the Site or disobey any requirements, procedures, policies or regulations of networks connected to the Site or otherwise impose an unreasonable or disproportionate burden on the Site;

(i) intentionally or unintentionally violate any applicable local, state, national or international law, rules or regulations;

(j) attempt to circumvent any passwords or other security features or take any action intended or designed to compromise the privacy or security of the Site, users or other visitors;

(k) reproduce, modify, rent, lease, loan, distribute, sell, trade, resell or otherwise commercially exploit any portion of the Site or create derivative works based on the Site, Software or Licensed Content in whole or in part.

4. Indemnity

You agree to indemnify, defend, release and hold IELT, its officers, directors, suppliers, co-branders or other partners, agents and employees, harmless from all claims, demand, damages, fees and costs of any nature, including reasonable fees of attorneys' and other professionals, due to or arising out of anything you submit or transmit through the Site, your use of the Site, including any links located thereon, your connection to the Site, your violation of these Terms of Use, or your violation of any intellectual property rights. In the event you provide information that is untrue, inaccurate, fraudulent, or out of date, you agree to indemnify IELT for and hold it harmless from and against any and all liability, damages, loss or expense (including reasonable fees of attorneys and other professionals) it may incur, including but not limited to loss of business profits, taxes, penalties or sanctions, interest, fees, costs and expenses of any nature arising from or related to any claim, demand, action or proceeding alleged or initiated against IELT by any third party based upon the information you provide or your use of the Site.

5. Modifications to Site

From time to time IELT may change the Licensed Content, the services offered or terminated through the Site or modify the Site's capability. IELT reserves the right at any time and from time to time to modify these Terms of Use, the Site and/or discontinue, temporarily or permanently, the Site (or any part thereof) with or without notice. You agree that IELT shall not be liable to you or to any third party for any such action.

6. Termination

IELT, in its sole discretion, may terminate your use for any reason, but especially if IELT believes that you have violated or acted inconsistently with the letter or spirit of these Terms of Use. IELT may also in its sole discretion and at any time discontinue providing the Site, or any part thereof, with or without notice. You agree that any termination of your access to the Site under any provision of the Terms of Use may be effected without prior notice, and acknowledge and agree that IELT may immediately deactivate or delete your account, if any, and all related information and files in your account and/or bar any further access to such files or the Site. Further, you agree that IELT shall not be liable to you or any third party for any termination of your access to the Site.

When you link to those sites, you leave this Site and therefore the IELT privacy terms set forth in these Terms of Use no longer apply; you become subject to the practices of those companies or individuals operating the linked sites. IELT has no control over such sites, their content and resources or the business practices or policies of operators of such sites. Therefore IELT cannot be and expressly disclaims all responsibility or liability for the availability or accuracy of such external sites or resources or the content thereon, does not endorse and is not responsible or liable for any advertising, products or other materials on or available from such sites or resources. The inclusion of any link on the Site does not imply that IELT endorses the linked site. Your use of the links is at your own risk. You further acknowledge and agree that IELT shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with your use of or reliance on any such goods, services or materials available on or through any such link, site or resource.

8. Proprietary Rights

Everything you see or read on the Site, including the collection, compilation, assembly and arrangement of Licensed Content, is protected by all Canadian and international copyright, patent, trademark and other laws relating to the protection of proprietary rights, and may not be used except as provided in these Terms of Use without IELT's express written permission. The Site and any necessary software used in connection with the Site ("Software"), the collection, compilation, assembly and arrangement of Licensed Content, all images, photography, graphics, artwork, text, and other information and material found on the Site, regardless of source, all Marks and other intellectual property relating thereto and all information and data collected through the Site (all of which are included in and as the "Licensed Content"), is owned by Icon English Language Training Corp., and its affiliates or other third parties who have granted IELT the right and license to use the Licensed Content and contains proprietary and confidential information that is protected by all applicable intellectual property and other laws. All trademarks, logos, taglines, slogans, trade names, trade dress, product and service names, individually or combined with one another, and whether or not registered (collectively the "Marks") are proprietary to Icon English Language Training Corp., and its affiliates or other third party owners who have granted IELT the right and license to use its marks ("Third Party Marks"). Icon English Language Training Corp., and its affiliates may license from third parties the rights to use their marks on its products ("Third Party Marks"). You may not use or display either the Marks or the Third Party Marks in any manner. This includes use in or as metatags or any other "hidden text." A list of all Marks and Third Party Marks appears at the end of these Terms of Use. This list is not exhaustive and the absence of a Mark from this list should not be viewed as a waiver by Icon English Language Training Corp., and its affiliates or any third party of any of its rights concerning that Mark. Other IELT product or service names, slogans, taglines, logos, graphics, page headers, button icons, scripts are trademarks or trade dress of Icon English Language Training Corp. and may not be used in connection with any product or service which is likely to cause confusion in the marketplace, or in any matter that disparages or discredits Icon English Language Training Corp., or its affiliates.

9. DISCLAIMERS AND LIMITATIONS OF LIABILITY

YOU EXPRESSLY UNDERSTAND AND AGREE THAT:

(a) YOUR USE OF THE SITE IS AT YOUR SOLE RISK. THE SITE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. IELT EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT AND NONINTERFERENCE WITH YOUR USE OF ALL OR ANY PART OF THE SITE.

(b) IELT MAKES NO WARRANTY THAT (I) THE SITE WILL MEET YOUR REQUIREMENTS, (II) THE SITE AND/OR ONLINE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, ACCURATE OR ERROR-FREE, (III) THE RESULTS OBTAINED FROM THE USE OF THE SITE WILL BE ACCURATE OR RELIABLE, OR (IV) THE QUALITY OF ANY PRODUCTS, SITE, SERVICES, INFORMATION, OR OTHER MATERIAL PURCHASED OR OBTAINED BY YOU THROUGH THE SITE WILL MEET YOUR EXPECTATIONS.
